Corporate experience and projects
- Advised the regulatory authority Energy Market Authority of Singapore on a wide spectrum of regulatory issues, including the Gas (Amendment) Bill 2007 to create a new pipeline access regime, gas allocation issues, gas metering regulations and also advised on the licensing requirements for ORF (onshore receiving facility) operators.
- Advised a US multi-national chemicals manufacturing company on novel infrastructure sharing arrangements with the user of adjoining land for its Singapore facility The shared facilities include nitrogen and methanol tank share, and utilities generation facilities including waste water treatment plant and auxillary cooling systems.
- Acted for multinational client in cross jurisdiction business transfer and share transfer agreements pursuant to global disposal of assets and management buyout, including coordinating the injection of assets in local operating companies in 7 major Asian jurisdictions.
- Corporate governance including advice on compliance and whistleblowers’ programs
- Company Secretary involved in whole spectrum of corporate governance and corporate secretarial work including advice on compliance and whistleblowers’ programs, share transfers and business acquisitions, variation in share capital and advice on setting up branches and representative offices, as well as stamp duty.
Competition law
- Acted for an Industry Regulator in the first ever competition law appeal relating to anti-competitive practices of a major gas industry player under the gas regulatory laws of Singapore.
- Advised on anti-competitive practices involving pricing, distribution, dominance and abusive conduct, licensing strategies and strategic alliances.
- Legal audit of contractual relations to protect clients from penalties and breaches of the Singapore competition law.
- Advised on exclusive contracts, agency and other vertical arrangements and crafting of legal compliance programs.
Employment Law
- Advised major corporations and all levels of staff from rank-and-file to top executives in a whole spectrum of employment issues and disputes, such as restrictive covenants, retrenchment schemes, employee share options, transfer of employment, wrongful termination and unlawful retaliation.
- Drafting of service contracts, secondment agreements, confidentiality provisions and other undertakings.
Environmental and regulatory work
- Lead coordinator in advice to foreign corporation on the regulatory and environmental regime in Singapore for operation of the first desalination plant in Singapore including review of water purchase agreement, EPC and O&M contracts and advising on all environmental and regulatory legislative requirements.
- Due diligence report on all environmental and regulatory legislative requirements for construction and operation of a NEWater plant.
- Advised MNCs on environmental health issues including workplace safety and industrial health requirements.
- Advised on industrial and safety standards, including standards for drinking bottled water and mineral water and the hazardous waste control.
- Vetted legal overview of occupational health and safety legislation including waste disposal, waste electronics, hazardous waste, environmental impact and facility design and construction for a foreign corporation.
Government Tenders/Auctions/En bloc Sales
- Advised on government tenders and public-private projects and RFIs.
- Drafted and reviewed Invitations for Tender and Conditions of Sale for auctions for most major banks and corporations.
- Vetted collective sale agreements and tenders for prospective purchasers in enbloc sales under the Land Titles (Strata) Act.
Real Estate
- Advised Pfizer in the lease of new office space at The Capricorn, and currently acting for Pfizer’s Singapore facility in its ongoing negotiations to take up option land with the Jurong Town Corporation at Tuas.
- Advised Eli Lilly in the lease and ongoing fit out of its new Centre for Systems Biology at The Biopolis, Singapore’s biomedical research park, including advising on project management and ancillary consultancy services.
- Vetted and advised on all legal aspects of purchase and development of state land from URA/HDB/JTC.
- Undertook due diligence and review of major JTC leases for inland and waterfront properties for petrochemical plants and power generators, including investment criteria and building plan submission process.
- Advised investment fund in respect of JV with Philippine corporation in purchase of all the units in the East Tower of top end waterfront residential project.
- Assisted in Bermuda fund set up for purpose of ERISA qualified investments in Singapore.
- Property trust agreement and ancillary sale and purchase agreements for property in relation to REITs.
- Acted for major landlords in revamp of standard lease formats and in leases of major commercial buildings such as Ikea Building and Parkway Parade.
Professional background
Sandra graduated from the National University of Singapore in 1994 with a Bachelor of Laws degree (LLB (Hons) Second Class (Upper Division).
She was admitted as an Advocate and Solicitor of the Supreme Court of Singapore in 1995.
